Parties Involved:

Scope of Work:
The Service Provider shall deliver the services as specified in Schedule A, including software development, testing, and deployment, in accordance with the terms herein.
Term & Termination:
This Agreement shall commence on the Effective Date and continue for a period of 12 months, unless terminated earlier as provided herein. Either party may terminate with thirty (30) days’ written notice.
Payment Terms:
The Client shall pay the Service Provider according to the schedule outlined in Schedule B. Payments are due within 30 days of invoice receipt.
Service Provider Responsibilities:
The Service Provider shall perform the services diligently, in a professional manner, and in compliance with applicable laws and industry standards.
Confidentiality:
Both parties agree to maintain the confidentiality of proprietary information disclosed during the term of this Agreement.
Governing Law:
This Agreement shall be governed by the laws of the State of New York. Any disputes shall be resolved within the courts of New York County.
Additional Provisions:
- Both parties agree to comply with all applicable laws and regulations.
- This Agreement may only be amended in writing signed by authorized representatives.
- Intellectual property rights shall be addressed in Schedule C.
