Employee Intellectual Property Assignment Sample Agreement
Parties Involved:
Employer: XYZ Corporation
Address: 123 Business Rd, New York, NY 10001
Employee: John Doe
Address: 456 Elm Street, New York, NY 10002
Scope of IP Rights:
The employee agrees to assign all rights, title, and interest in any intellectual property developed or conceived during the course of employment related to the company’s business, including but not limited to inventions, patents, copyrights, trademarks, and trade secrets, to the employer.
Work Product:
All work products, inventions, and materials created by the employee during employment that relate to the company’s business shall be considered work for hire and the exclusive property of the employer.
Employee Obligations:
The employee shall promptly disclose to the employer all inventions or intellectual property conceived or reduced to practice during employment and shall assist the employer in obtaining and maintaining intellectual property rights related to such inventions.
Governing Law:
This agreement shall be governed by and construed in accordance with the laws of the State of New York. Disputes shall be resolved within the jurisdiction of the New York courts.
Additional Provisions:
