Purpose of Agreement:

The parties wish to explore a potential business relationship and agree to exchange confidential information subject to this Non-Disclosure Agreement applicable in California, US.

Definition of Confidential Information:

“Confidential Information” includes all non-public, proprietary, and sensitive information disclosed by the Disclosing Party to the Receiving Party, whether in written, oral, or electronic form.

Obligations of the Receiving Party:

The Receiving Party shall keep all Confidential Information strictly confidential, using at least the same degree of care as it uses for its own confidential information, but no less than reasonable care. Exclusions from Confidential Information:

Term of Confidentiality:

Governing Law:
