Sample Basic NDA Agreement (US)
Parties Involved:
Disclosing Party: Example Corp.
Address: 123 Business Rd., Suite 400, New York, NY 10001
Receiving Party: XYZ Inc.
Address: 456 Commerce St., Los Angeles, CA 90012
Purpose of Disclosure:
The Parties wish to exchange confidential information for the purpose of exploring a potential business relationship or collaboration, subject to the terms of this Agreement.
Definition of Confidential Information:
Confidential Information includes all non-public, proprietary, or sensitive information disclosed in written, oral, or any other form relating to the Parties’ business and activities.
Obligations of Receiving Party:
The Receiving Party shall keep all Confidential Information strictly confidential, shall not disclose it to third parties, and shall use it solely for the Purpose described above.
Term:
This Agreement shall commence on the date signed below and continue for a period of two (2) years unless terminated earlier by either Party in writing.
Governing Law:
This Agreement shall be governed by and construed under the laws of the State of New York. Any disputes shall be resolved in the courts of New York County.
Exceptions:
Information that (i) is publicly available at the time of disclosure or becomes publicly available through no fault of the Receiving Party; (ii) is lawfully received from a third party without restriction; or (iii) is independently developed by the Receiving Party shall not be considered Confidential Information.
