Non-Solicitation Agreement Sample (US)

Parties Involved:

Party A: XYZ Corporation
Address: 123 Innovation Drive, New York, NY 10001

Party B: John Smith
Address: 456 Elm Street, New York, NY 10002

Purpose:

This Non-Solicitation Agreement (“Agreement”) aims to prevent Party B from soliciting or inducing any employees, clients, or customers of Party A for a specified period within the scope of the business relationship.

Non-Solicitation Obligations:

During the term of this Agreement and for a period of two (2) years thereafter, Party B shall not directly or indirectly solicit, induce, or encourage any employees, contractors, clients, or customers of Party A to terminate or alter their relationship with Party A.

Duration:

This Agreement shall commence on the date signed below and shall continue for a period of two (2) years, unless terminated earlier by mutual written consent.

Governing Law:

This Agreement shall be governed by and construed under the laws of the State of New York. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts located in New York County.

Additional Provisions:

• Party B agrees not to disclose confidential information obtained during the relationship.
