Ohio LLC Operating Agreement Sample
Introduction:
This Operating Agreement (“Agreement”) is entered into by and among the members of Ohio LLC, to establish the management structure, rights, and responsibilities of each member, in accordance with Ohio law.
Members:
Member 1: John Doe
Address: 123 Main Street, Columbus, Ohio 43215
Member 2: Jane Smith
Address: 456 Elm Street, Cleveland, Ohio 44114
Capital Contributions:
Members agree to contribute capital as follows: John Doe – $50,000; Jane Smith – $50,000, with ownership percentages based on contributions.
Management and Voting:
The LLC shall be managed by its members. Each member shall have voting rights proportionate to their ownership interests. Major decisions require the approval of members holding at least 51% of the voting interests.
Profits, Losses, and Distributions:
