Sample SaaS License Agreement (US)

Parties Involved:

Licensor: XYZ Software Inc.
Address: 123 Silicon Valley Road, San Jose, CA 95131

Licensee: Acme Corporation
Address: 456 Business Park, New York, NY 10001

License Description:

The Licensor grants the Licensee a non-exclusive, non-transferable license to use the Software described herein, subject to the terms and conditions of this Agreement.

License Terms:

The license fee shall be $10,000 annually, payable within 30 days of signing this agreement. The license shall commence on the Effective Date and continue for a period of 12 months unless terminated earlier as provided herein.

Licensor Responsibilities:

The Licensor shall provide the Licensee with access to the Software, updates, and support as specified in the Service Level Agreement attached hereto.

Limitations and Restrictions:

The Licensee shall not reverse engineer, decompile, or disassemble the Software, nor sublicense or distribute it beyond the scope permitted herein.

Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of the State of California. Any disputes shall be resolved in the courts of Santa Clara County.

Additional Provisions:

• The Licensee agrees to comply with all applicable laws and regulations related to the use of the Software.
• This Agreement, including any attached exhibits, constitutes the entire understanding between the parties and supersedes all prior agreements.
• Any amendments must be made in writing and signed by both parties.
