Sample Unilateral Non-Disclosure Agreement (US)

Disclosing Party: XYZ Corporation

Confidential Information:

All non-public, proprietary, or confidential information disclosed by the Disclosing Party to the Receiving Party, whether orally or in writing, during the term of this agreement.

Purpose:

The Confidential Information is disclosed solely for the purpose of evaluating a potential business relationship between the parties.

Obligations of the Receiving Party:

The Receiving Party agrees to maintain the confidentiality of the information and not disclose it to any third parties without prior written consent. The information shall only be used for the purpose stated above.

Term:

This agreement shall commence on the date signed below and continue for a period of two (2) years unless terminated earlier by written notice.
